1. About these terms

These terms apply to your use of the Client Payroll Exchange ("CPX") website, the public member directory and the CPX member platform. By using the site you accept these terms. If you do not accept them, please do not use the site.

2. Membership

  • Membership is firm-based and is subject to application, review and approval. We may decline an application without giving reasons.
  • Membership fees are payable in advance on the plan selected. Founding Membership pricing is retained only while membership remains continuous.
  • Members are responsible for keeping their account details, firm profile and verification evidence accurate and up to date.
  • We may suspend or end membership where these terms or the CPX membership standards are breached, or where information supplied to CPX is found to be inaccurate.

3. Fees, automatic renewal and cancellation

  • Membership is billed monthly in advance and renews automatically each month on the anniversary of your start date until it is cancelled. Payment is taken using the card or mandate held on your account.
  • You can cancel at any time from Billing in your member account, or by emailing hello@clientpayrollexchange.com. Cancellation must be received before your next billing date to stop that renewal.
  • Cancellation takes effect at the end of the paid period you are in. Your membership, access to the member platform and your directory listing continue until that date, and no further payments are taken afterwards.
  • Fees already paid are not refundable, including part-months, and we do not pro-rate a cancellation part-way through a billing month. This does not affect your statutory rights or any refund we agree where we have charged you in error.
  • When membership ends, CPX Verified status lapses, your public directory listing is removed and you must stop using the CPX Verified badge and any CPX branding.
  • Founding Member pricing applies only while membership remains continuous. If your membership ceases for any reason, the Founding Member price is lost and any future application will be charged at the standard rates then in force.

4. CPX verification

CPX verification confirms that defined checks have been completed using the information and evidence supplied to CPX. It is not a guarantee or endorsement of the quality, accuracy or suitability of a firm's payroll services, and CPX is not responsible for the acts or omissions of member firms. 5. The public directory

Directory listings are provided by member firms. Businesses using the directory should carry out their own enquiries and satisfy themselves that a provider is suitable before entering into any agreement. Any contract for payroll services is between the business and the provider; CPX is not a party to it.

6. Acceptable use

  • Do not misuse the site, attempt to gain unauthorised access or disrupt it.
  • Do not scrape, harvest or bulk-extract directory data, or use member contact details for unsolicited marketing.
  • Content you post in member areas must be lawful, accurate, professional and respectful.

7. No professional advice

Guidance, templates, briefings and other resources provided by CPX are for general information only. They are not legal, tax, regulatory or other professional advice, and they do not replace individual professional membership, technical qualifications or independent specialist advice. You remain responsible for decisions taken in your practice.

8. Intellectual property

The CPX name, logo, badges and site content belong to CPX or its licensors. Members may display the CPX Verified badge only while their verification is current and only in the manner we specify. All other use requires our written permission.

9. Liability

We do not exclude liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded. Subject to that, CPX is not liable for indirect or consequential loss, loss of profit, business or data, and our total liability in connection with the site or membership is limited to the fees paid in the twelve months before the claim arose.

10. Changes and availability

We may update these terms, the site and our membership benefits from time to time. We aim to keep the site available but do not guarantee uninterrupted access.

11. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
